Incorporation

Talcott Forge offers standalone entity formation as a service — independent of ROBS. If you need a business entity formed quickly and correctly, we handle the full process: state filing, EIN, registered agent, and governance documents.

Entity Types

C-Corporation

Standard corporation with separate taxation. Required for ROBS, preferred for venture-backed companies. Issues stock to shareholders.

S-Corporation

Pass-through taxation with corporate liability protection. Popular for small businesses that want to avoid double taxation. Limited to 100 shareholders.

LLC

Flexible structure with pass-through taxation and limited liability. No stock — ownership is through membership interests. Simpler governance requirements.
If you’re doing ROBS, you must form a C-Corporation — LLCs and S-Corps cannot issue qualifying employer securities. The C-Corp formation is included in the ROBS process and does not need to be purchased separately.

Talcott Forge submits your formation documents to the state, orders a registered agent, and applies for your EIN with the IRS.

Receive Your Documents
